Please read these terms carefully before using ChainPortal.

1. Acceptance of Terms
By accessing, browsing, or using ChainPortal ("the Platform"), including by connecting a wallet, deploying a smart contract, or interacting with any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using the Platform. These Terms constitute a legally binding agreement between you and ChainPortal.
2. Description of Service
ChainPortal is a decentralized application that provides tools and interfaces enabling users to deploy tokens and NFTs across multiple blockchain ecosystems including EVM chains (33+ networks), Solana, Cosmos, Aptos, SUI, and NEAR. ChainPortal does not control the underlying blockchain networks, does not execute transactions on your behalf, and does not have custody of your digital assets at any time. The Platform merely provides a user interface for interacting with publicly available smart contracts and blockchain protocols.
3. No Custodial Relationship
ChainPortal is a non-custodial platform. We are not a broker, financial institution, creditor, custodian, exchange, dealer, or financial advisor. No fiduciary duty, advisory relationship, or principal-agent relationship exists between you and ChainPortal. Specifically:
- We never store, hold, or have access to your private keys, seed phrases, or passwords
- We do not custody, control, or manage any of your digital assets
- We do not execute trades or transactions on your behalf
- We do not provide investment, financial, tax, or legal advice
- We make no recommendations regarding the value, utility, or legal status of any token or NFT you create
You are solely responsible for your wallet, private keys, and all transactions you initiate through the Platform.
4. User Responsibilities
4.1 Wallet Security
You are solely responsible for maintaining the security of your wallet and private keys. ChainPortal never has access to your private keys or seed phrases. Any unauthorized access to your wallet is your sole responsibility.
4.2 Compliance
You agree to use ChainPortal in compliance with all applicable local, state, national, and international laws and regulations, including securities laws, tax obligations, and anti-money laundering regulations.
4.3 Prohibited Uses
You may not use ChainPortal to:
- Deploy tokens or NFTs for illegal purposes or to facilitate fraud
- Violate any intellectual property rights of third parties
- Engage in fraud, money laundering, terrorist financing, or other financial crimes
- Create tokens intended to deceive, defraud, or harm other users
- Interfere with or disrupt the Platform's operation
- Attempt to gain unauthorized access to any part of the Platform
- Deploy contracts that impersonate other projects or tokens
5. Assumption of Risk
By using ChainPortal, you expressly acknowledge, accept, and assume the following risks. This list is not exhaustive, and additional risks may exist:
- Price Volatility: The value of digital assets, including tokens and NFTs you create, is extremely volatile and may decrease to zero. ChainPortal makes no guarantees about the value of any asset.
- Gas Fee Risk: Blockchain transactions require gas fees that are non-refundable regardless of whether the transaction succeeds or fails. Gas prices can fluctuate significantly.
- Regulatory Risk: Blockchain technology and digital assets face an uncertain regulatory environment. Regulatory actions may adversely affect the legality, value, or transferability of tokens and NFTs you create.
- Smart Contract Risk: Smart contracts may contain bugs, vulnerabilities, or errors that could result in the loss of your digital assets. Code audits reduce but do not eliminate this risk.
- Key Loss Risk: If you lose access to your private keys or wallet, your digital assets will be permanently and irretrievably lost. ChainPortal cannot recover them.
- Cross-Chain Risk: Deploying assets across multiple blockchain ecosystems involves additional risks including bridge exploits, network-specific vulnerabilities, and interoperability failures.
- Network Risk: Blockchain networks may experience congestion, forks, outages, or attacks that could affect your transactions and deployed contracts.
- Third-Party Risk: ChainPortal integrates with third-party services (IPFS providers, RPC nodes, wallet extensions) that may fail, be compromised, or discontinue service.
You expressly waive and release ChainPortal, its affiliates, and their respective officers, directors, employees, and agents from any and all liability, claims, causes of action, or damages arising from or in any way related to your use of the Platform and any of the risks set forth above.
6. Blockchain Transactions
All blockchain transactions are final and irreversible once confirmed on the respective blockchain. ChainPortal cannot reverse, cancel, modify, or refund any transactions. You are solely responsible for verifying all transaction details (recipient addresses, amounts, contract parameters) before confirming any transaction in your wallet. Mistakes, including sending to incorrect addresses or deploying with wrong parameters, cannot be corrected after confirmation.
7. Smart Contract Disclaimer
Smart contracts deployed through ChainPortal are provided "AS IS" without any warranty or guarantee of any kind. While our contract templates are built on industry-standard libraries such as OpenZeppelin, you acknowledge and agree that:
- ChainPortal does not guarantee the security, correctness, or fitness of any smart contract for any purpose
- Smart contracts may contain undiscovered bugs, errors, or vulnerabilities
- Deployed contracts are immutable and cannot be modified or patched after deployment
- Third-party exploits or attacks may target contracts you deploy
- Contract behavior may differ across blockchain ecosystems
- Past audits do not guarantee future security
You deploy smart contracts entirely at your own risk. Even if contracts contain bugs or vulnerabilities that result in the total loss of your digital assets, ChainPortal bears no responsibility whatsoever. You are solely responsible for reviewing and understanding any smart contract before deployment.
8. Gas Fees and Costs
You are responsible for paying all gas fees and network costs associated with your transactions. These fees are paid directly to the blockchain network validators and miners and are non-refundable under all circumstances, including failed transactions. ChainPortal has no control over gas prices or network fees.
9. Protocol Fees
ChainPortal may charge protocol fees on mainnet deployments to support platform development and maintenance. Fee amounts are displayed before transaction confirmation. Testnet deployments are always free. Protocol fees are non-refundable once a transaction is confirmed on the blockchain. ChainPortal reserves the right to modify fee structures at any time with reasonable notice.
10. Referral Program
The referral program allows users to earn a percentage of protocol fees from deployments made using their referral code. Referral codes are stored on-chain. ChainPortal reserves the right to modify referral rates, suspend codes used for abuse or manipulation, or discontinue the program at any time without prior notice. Referral earnings are only available for withdrawal after reaching the minimum threshold. Sybil attacks, self-referrals, and other forms of abuse will result in immediate disqualification.
11. Intellectual Property
The ChainPortal platform, including its design, code, documentation, branding, and all associated intellectual property, is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content (names, descriptions, images) you upload for your tokens and NFTs, but you grant ChainPortal a non-exclusive, royalty-free license to display such content on the Platform.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. CHAINPORTAL SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CHAINPORTAL DOES NOT WARRANT THAT (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS, (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE RESULTS OBTAINED FROM USING THE PLATFORM WILL BE ACCURATE OR RELIABLE, (D) ANY SMART CONTRACTS DEPLOYED THROUGH THE PLATFORM WILL FUNCTION AS INTENDED, OR (E) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CHAINPORTAL OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. YOU EXPRESSLY ACKNOWLEDGE THAT CHAINPORTAL HAS MADE NO REPRESENTATIONS REGARDING THE TAX IMPLICATIONS, LEGAL STATUS, OR REGULATORY CLASSIFICATION OF ANY TOKENS OR NFTS CREATED USING THE PLATFORM.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHAINPORTAL, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF TOKENS, NFTS, OR OTHER DIGITAL ASSETS
- LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS
- LOSS OF DATA OR GOODWILL
- FAILED OR REVERTED SMART CONTRACT DEPLOYMENTS
- GAS FEES SPENT ON UNSUCCESSFUL TRANSACTIONS
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
- EXPLOITS OR VULNERABILITIES IN DEPLOYED SMART CONTRACTS
- ACTIONS OF THIRD PARTIES, INCLUDING OTHER USERS OF THE PLATFORM
IN NO EVENT SHALL CHAINPORTAL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE PLATFORM OR THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CHAINPORTAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
14. Indemnification
You agree to indemnify, defend, and hold harmless ChainPortal, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Platform
- Your violation of these Terms or any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights
- Tokens or NFTs you deploy that infringe on others' intellectual property
- Tokens you create that are used to harm, defraud, or deceive others
- Any claims made by third parties related to assets you deployed using the Platform
- Your failure to comply with applicable securities, tax, or other regulatory requirements
15. Modifications to Terms
We reserve the right to modify these Terms at any time at our sole discretion. Material changes will be communicated through the Platform, and you may be required to re-consent to updated terms. Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you disagree with any changes, you must immediately cease using the Platform.
16. Termination
We may terminate or suspend your access to the Platform at any time, with or without cause or notice, for any reason including violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.
17. Governing Law & Arbitration
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language by a single arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ChainPortal.
